This Agreement sets out the rights granted to you when you purchase the VoxaParty
Extended License. It governs what you may build with the Source Code, what you may
sell, what you may not do, and how long updates and support last. It supplements — and on questions of
Extended License scope, overrides — the VoxaParty
Terms & Conditions. By purchasing the Extended License you
accept both documents.
1. Definitions
- "We", "us", "our" — voxastream.com, the owner and operator of
VoxaParty, VoxaLive and VoxaStream, and the licensor of the Product.
- "You", "Licensee" — the individual or legal entity named at purchase.
- "Source Code" — the VoxaParty Flutter application source, the React admin
dashboard and its agency and coin-seller panels, the Node.js Cloud Functions backend, configuration
files, and the accompanying build and deployment documentation.
- "Assets" — the animated cosmetic library delivered with the Extended License:
avatar borders, entrance animations, virtual gifts, entrance badges, user badges and chat bubbles,
together with their source files.
- "End Product" — an application you build, deploy and publish using the Source Code.
- "Agreement" — this document, in the version in force on the date of your purchase.
2. The Licensee
The Extended License is granted to one individual or one legal entity, named at the
time of purchase.
- Employees and contractors of the Licensee may access and work on the Source Code for the purpose of
building the Licensee's End Products. There is no seat limit and no per-developer fee.
- You may publish an unlimited number of End Products under this License.
- The License covers one entity only. Separate businesses, subsidiaries operating independently, and
partners each require their own License.
- The License is not transferable, except that it may be assigned as part of a genuine
sale of the Licensee's business as a whole, on prior written notice to us. It may not be sold,
sublicensed, lent or otherwise passed on by itself.
3. Grant of Rights
On payment in full, we grant you a perpetual, worldwide, non-exclusive license to use
the Source Code and Assets as set out in this Agreement. Subject to sections 4, 5 and 6, you may:
- Use, compile, modify and extend the Source Code without restriction on the changes you make.
- Rebrand the application entirely — name, logo, colours, copy, iconography and store listings.
- Publish End Products to the Apple App Store, Google Play, and any other distribution platform.
- Charge your end users — for coins, subscriptions, gifts, VIP tiers, or any other
paid interaction — and keep all revenue. We take no revenue share.
- Operate End Products commercially, including as a hosted or SaaS platform serving multiple
customers.
- Build and operate End Products for third-party clients, subject to section 5.
"Perpetual" means the rights granted here do not expire. See section 7 for how this differs from the
update and support period.
4. Restrictions
Under this License you may not:
- Resell, redistribute, sublicense, publish or otherwise share the Source Code itself,
in whole or in part, whether modified or unmodified.
- Offer the Source Code, or a derivative of it, as a template, theme, starter kit, boilerplate, SDK or
competing source-code product.
- Upload the Source Code to any public or private code repository, marketplace, package registry, model
training corpus or file-sharing service where a third party could obtain it.
- Remove, obscure or alter copyright notices, license headers or attribution contained in the Source
Code or Assets.
- Share your License, credentials or repository access with anyone who has not obtained their own
License, except your own employees and contractors as permitted by section 2.
- Use the Source Code or Assets to build applications that are unlawful, promote hate or violence,
involve sexual content featuring minors, facilitate fraud, or breach the laws of your jurisdiction
or the policies of the platforms you publish to.
Breach of this section terminates your License immediately and without refund.
5. Client Work and Reselling
The Extended License is designed for agency and client work. The boundary is between delivering a
deployment and delivering the Source Code.
You may:
- Build, brand, deploy, operate and charge for End Products on behalf of third-party clients.
- Transfer a finished End Product to your client — the built application, its store listings, its
Firebase project, its infrastructure, its domain and its accounts.
- Charge your client whatever you wish for that work. We take no share of it.
- Continue to maintain your client's deployment under your own License.
Your client owns the deployed application, its branding, its content, its accounts and all data
generated by its users.
You may not:
- Deliver, hand over, escrow or otherwise make the Source Code available to a client.
The Source Code remains licensed to you alone.
A client who requires the Source Code — for example so their own developers can maintain it
independently of you — must obtain their own Extended License. You may purchase an additional License on
their behalf. Contact us and we will arrange it.
6. Cosmetic Assets
The Assets are licensed to you on the same perpetual terms as the Source Code, with the following
specific provisions.
- You may use, modify, re-render and monetise the Assets inside your End Products,
including selling them to your users as in-app items, gifts, VIP perks or purchasable cosmetics.
- You may not resell, redistribute or publish the Assets as a standalone pack,
library, asset-store listing or download, whether free or paid, and whether modified or not.
-
No warranty of third-party rights. The Assets are provided as-is. We make
no representation or warranty that any individual Asset is free of third-party
trademark, design, copyright or likeness rights. Some Assets depict vehicles, objects, places or
motifs that may be associated with real brands or marks.
You are solely responsible for reviewing the Assets you choose to ship and for
clearing or avoiding any such use in the markets where you operate. If in doubt about a particular
Asset, replace it or ask us and we will remove it from your delivery.
7. Updates and Support
- Priority support and product updates are included for twelve (12) months from the
date of delivery.
- After that period, continued updates and priority support may be renewed at our then-current rate.
Renewal is optional.
- The License itself is perpetual. Expiry of the update period does not end, reduce or
suspend your right to use, modify, deploy, sell or continue operating anything already delivered to
you. There is no kill switch, no license key check, and no requirement to renew in order to keep
shipping.
- Support covers installation guidance, defect fixes and questions about documented features. It does
not cover custom feature development, administration of your infrastructure, or general instruction
in Flutter, Firebase or software development. Custom work can be quoted separately.
- We may change or discontinue features in future releases where necessary to keep the Product working
with current platforms, operating systems and third-party services.
8. Delivery
Following payment we will contact you within 24 hours at the email address supplied at checkout. Delivery
comprises private repository access to the Source Code, the build and deployment documentation, and the
full Assets pack.
Guided setup and deployment — Firebase project configuration, voice server deployment, rebranding,
payment-gateway integration and final testing — is an optional service quoted separately
and is not included in the Extended License fee. Where engaged, it typically takes six
to ten business days, depending on how quickly you supply the required assets, accounts and approvals.
9. Fee
The Extended License fee is the amount stated at the point of purchase —
$899 USD as at the date of this version. It is a one-time fee. Depending on your
country, value-added or sales tax may be added at checkout by our payment processor.
All sales are final once the Source Code has been delivered, as set out in section 7 of the
Terms & Conditions.
10. Relationship to the Terms & Conditions
This Agreement supplements the VoxaParty
Terms & Conditions, which continue to govern the website, the
sale itself, payment and refunds, chargebacks, demos and third-party services, warranty disclaimers,
limitation of liability, indemnity and governing law.
Where this Agreement and the Terms & Conditions conflict on the scope of the Extended
License — what is granted, what is restricted, what may be resold, and the update and support
period — this Agreement controls. On all other matters the Terms & Conditions apply.
We may revise this Agreement from time to time. The version in force on the date of your purchase
continues to govern your License; later revisions do not retroactively reduce rights you have already
paid for.
11. Warranties, Liability and Termination
The Source Code and Assets are provided "as is", without warranty of any kind, express
or implied. We do not warrant that they will be uninterrupted or error-free, that they will meet your
specific requirements, or that any End Product will be approved by Apple, Google or any other platform.
Sections 10 to 13 of the Terms & Conditions — disclaimer of
warranties, limitation of liability, indemnity and termination — apply to this Agreement in full and are
incorporated by reference.
In particular, our total aggregate liability for any claim arising from this License is limited to the
amount you actually paid for it.
On termination for breach you must stop using the Source Code and Assets and delete all copies in your
possession. Sections covering ownership, restrictions, warranty disclaimers, limitation of liability and
indemnity survive termination.
12. Ownership and Authorization
VoxaParty, VoxaLive and VoxaStream are owned and
operated by voxastream.com. VoxaParty is the source-code product licensed under this
Agreement; VoxaLive is the live consumer application running on the same codebase; VoxaStream is the
voice server powering its audio rooms.
The sale of the Extended License, the checkout page at which payment is taken, and the delivery of the
Source Code and Assets are authorized by voxastream.com. Payment is collected by our
payment provider acting on its behalf, and the checkout appears as
“VoxaParty Extended License by VoxaLive”.
